MUEDsp plug-ins (MUEDsp masterchain, MUEDvox, MUEDlim, MUEDsat, MUEDrive) End-User License Agreement

1. Grant of License

Subject to your compliance with this Agreement, glasswerks grants you a limited, non-exclusive, non-transferable (except as permitted in Section 4) license to install and use the Software on up to two (2) computers that you personally own or control, for so long as this Agreement remains in effect.

• If you obtained a paid version of the Software, this license is granted upon receipt of a valid license key issued following purchase.
• If you obtained a free version of the Software, this license is granted at no cost and is a separate, independent product from any paid version glasswerks offers; it is not a limited or trial version of any paid product, and there is no upgrade path from a free product to a paid product.

You may use the Software for personal or commercial purposes, including in the production of commercially released music and audio, subject to the restrictions in Section 4.

2. Reservation of Rights

The Software is licensed, not sold. glasswerks and its licensors retain all right, title, and interest in and to the Software, including all copyright, patent, trademark, trade secret, and other intellectual property rights. This Agreement grants you no rights to the Software other than the limited license expressly set out in Section 1.

3. Ownership of Your Output

You retain all right, title, and interest in and to the musical works, recordings, mixes, and other creative content that you create using the Software (“Output”). glasswerks claims no ownership interest in your Output. You do not owe glasswerks any royalty, license fee, attribution, or other obligation in connection with your creation, performance, distribution, or commercial exploitation of your Output.

4. Restrictions

Except as expressly permitted by this Agreement or by mandatory provisions of applicable law that cannot be waived by contract, you may not:

• copy, modify, or create derivative works of the Software;
• reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
• rent, lease, lend, sell, sublicense, or otherwise redistribute the Software to any third party;
• transfer this license to any other person, except that you may make a one-time permanent transfer of your entire license, including your license key, to another person, provided that you retain no copies of the Software, the recipient agrees to the terms of this Agreement, and glasswerks is notified in writing in advance at support@mued.jp;
• remove or alter any copyright, trademark, or other proprietary notices contained in the Software.

5. Free Products

If you are using a free version of the Software, you acknowledge and agree that: (a) it is provided “as is” without any warranty of any kind; (b) glasswerks may modify, limit, or discontinue it, or any feature of it, at any time without notice; and (c) Sections 11 (Disclaimer of Warranties) and 12 (Limitation of Liability) apply in full.

6. Demo Mode (Paid Products)

Prior to entering a valid license key, the paid version of the Software operates in a demonstration mode with no time limit. In demonstration mode, after every forty-five (45) seconds of audio the Software interrupts its processing for approximately three (3) seconds (for MUEDvox, the generated harmony is interrupted), and then resumes. Presets cannot be saved from within the Software in demonstration mode. For MUEDvox, MIDI files cannot be exported from within the Software in demonstration mode. Entering a valid license key removes these limitations. Use of demonstration mode is subject to this Agreement.

7. Updates

Your license fee entitles you to all future updates and minor releases of the Software within the same major version at no additional cost. glasswerks may offer a future major version of the Software as a separate paid upgrade, at glasswerks's discretion.

8. License Delivery and Activation

Upon purchase, glasswerks will send instructions to the email address provided through the FastSpring purchase process explaining how to obtain your license key through your account on glasswerks's website (mued.jp). License keys are made available only through that account and are not sent by email. You may activate the Software by pasting the license key into the Software or by loading the license key file into the Software; you do not need to place the file in any particular location. The Software does not use an online activation server. glasswerks processes personal data as described in its privacy policy at https://mued.jp/en/privacy, including: the purchase-notification information (such as your email address) that FastSpring provides for the purpose of issuing your license key; the email address you use to sign in to your account on glasswerks's website; the email address you provide when downloading a free product or a demonstration version; and, only if you have consented, your email address for sending you news and announcements. Payment information is collected and held solely by FastSpring; see FastSpring's privacy policy at https://fastspring.com/privacy/ and glasswerks's privacy policy at https://mued.jp/en/privacy for further detail.

9. Third-Party Software and Trademarks

The Software incorporates the following third-party components, each subject to its own license terms. Full license texts are reproduced in the THIRD-PARTY-LICENSES.md and FONT-LICENSES.md files included with the Software, and are also available at https://mued.jp/en/licenses.

VST and VST3 are trademarks of Steinberg Media Technologies GmbH, registered in Europe and other countries. Audio Units (AU) is a trademark of Apple Inc. AAX is a trademark of Avid Technology, Inc. The AAX plug-in format is implemented under a separate developer agreement between glasswerks and Avid Technology, Inc.; the AAX SDK is proprietary and is not open-source software.

10. Fees and Refunds

The price of a paid license is as stated at the time of purchase on the FastSpring order page. All payments are processed by FastSpring as merchant of record. Given the nature of downloadable digital content, purchases are generally non-refundable once the license key has been delivered, except as FastSpring's refund policy or applicable law otherwise requires — for example, in cases of billing error or a confirmed technical problem preventing use of the Software. Refund requests are handled by FastSpring in accordance with glasswerks's refund policy, available at https://mued.jp/en/refund. FastSpring's consumer support is available at https://fastspring.com/consumer-support/. To the extent applicable law grants you a mandatory right to withdraw from or cancel your purchase of digital content, nothing in this Agreement limits that right; where such a right can be waived by your informed consent, your purchase and immediate delivery of the license key constitutes such consent to the extent permitted by applicable law.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. glasswerks does not warrant that the Software will be uninterrupted, error-free, or compatible with any particular hardware or software configuration.

Nothing in this Section limits any statutory rights you may have as a consumer under the mandatory laws of your country of residence that cannot be excluded or limited by agreement.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will glasswerks be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or relating to this Agreement or your use of the Software, regardless of the theory of liability. glasswerks's total aggregate liability arising out of or relating to this Agreement will not exceed the amount you actually paid for the Software (or, for free products, zero).

This Section does not limit liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded under applicable law.

13. Term and Termination

This Agreement is effective until terminated. glasswerks may terminate this Agreement immediately if you breach any provision. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 2, 3, 11, 12, and 15 survive termination.

14. Changes to this Agreement

glasswerks may update this Agreement from time to time. For material changes, glasswerks will provide notice by posting the updated Agreement at https://mued.jp/en/eula and/or by requiring your acceptance of the updated Agreement as a condition of installing a subsequent update. Continued use of the Software after the effective date of an update constitutes acceptance of the revised Agreement to the extent permitted by applicable law.

15. Governing Law and Jurisdiction

This Agreement is governed by the laws of Japan, without regard to its conflict-of-laws principles. Subject to the following sentence, the Tokyo District Court shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement. Nothing in this Section deprives you of the protection of any mandatory consumer-protection provisions of the law of your country of habitual residence that cannot be derogated from by agreement under that country's law.

16. Language

This Agreement is drafted in English. glasswerks may provide a Japanese translation for reference only; in the event of any conflict or inconsistency between the English version and any translation, the English version prevails.

17. Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect. This Agreement constitutes the entire agreement between you and glasswerks regarding the Software and supersedes all prior agreements regarding its subject matter. glasswerks may assign this Agreement in connection with a merger, acquisition, or sale of assets; you may not assign this Agreement without glasswerks's prior written consent, except as permitted under Section 4(d). No waiver of any provision will be effective unless in writing.
